In addition to our core practice, we have worked closely with our clients since our earliest days in the establishment of new business ventures in the United States and Middle East and in resolving all the related legal problems. We help our clients to organize and structure their businesses by negotiating and preparing agreements governing financing and personnel issues. As our clients grow and expand, so does the scope of our assignments: buying and selling businesses, raising capital and bank financing, participating in joint ventures, entering into strategic relationships, negotiating distribution and licensing agreements, "going public", and in certain cases, helping them to restructure and/or ultimately liquidate or sell their businesses.


Commercial Real Estate (including, office buildings, mixed-use, parking garages, and shopping centers)

Form and advise corporations, special purpose entities, partnerships and joint ventures regarding acquisitions, sales, development and financing of real estate projects;

Negotiate and draft purchase and sale agreements;

Condominium / cooperative apartment building conversion and development;

Conduct due diligence;

Draft and negotiate real estate broker agreements;

Represent institutional lenders, mortgage banks and mortgage brokers in financing of real estate loans (negotiate and draft credit agreements/notes, security agreements, mortgages, and fixture filings);

Structure real estate transactions involving foreign purchasers (which may involve international or cross-border transactions) in a way to avoid U.S. estate and gift taxes with respect to such real estate (and minimize income taxes in connection with such real estate as well);

Represent owners, landlords, and tenants in negotiating, drafting, interpreting and enforcing leases and subleases; and

Negotiate and draft telecommunication equipment co-location agreements.
